ПРАВОВІ МЕХАНІЗМИ ТА ДОКУМЕНТАЛЬНЕ ЗАБЕЗПЕЧЕННЯ КОНВЕРТАЦІЇ МАЙНОВИХ І БОРГОВИХ ПРАВ У КОНТЕКСТІ ФІНАНСОВОЇ БЕЗПЕКИ МІЖНАРОДНИХ ІНВЕСТИЦІЙНИХ ВІДНОСИН
Анотація
Актуальність статті обумовлена необхідністю імплементації в законодавство міжнародних інституційних елементів систем управління фінансовою безпекою з ціллю спрощення процесу залучення і збільшення обсягів іноземних інвестицій у вітчизняну економіку. Метою статті є аналіз можливостей застосування в Україні інструментів конвертної позики, опціону, ліквідаційних преференцій, запевнень та компенсацій, виявлення прогалин у законодавчому регулюванні та формування рекомендацій щодо вдосконалення правового забезпечення відповідних інститутів. Основні результати дослідження: визначення механізмів трансформації позики у частку статутного капіталу та шляхів застосування опціонів для мотивації інвесторів і працівників; класифікація різновидів ліквідаційних преференцій; формулювання обґрунтованих рекомендацій щодо внесення змін у законодавство і ефективного застосування зазначених інструментів.
