SUBJECTS OF LEGAL RELATIONS IN PUBLIC AND CORPORATE GOVERNANCE: A COMPARATIVE ANALYSIS
Abstract
The purpose of the article is a comprehensive comparative legal analysis of the systems of subjects of legal relations in public and corporate governance, identifying their common and distinctive features. The research is based on a comparative analysis of scientific doctrines concerning the status of an «official» (posadova osoba) in public law and management in corporate law, as well as on a systematic analysis of key regulatory legal acts in both spheres. The source base includes the Constitution of Ukraine, the Laws of Ukraine «On Civil Service,» «On Joint-Stock Companies,» and others. It was established that despite fundamental differences in goals (public interest and provision of services versus profit generation) and the nature of relations (public governance operates within the «power-subordination» paradigm based on coercion, while corporate governance operates within the «ownership-management» paradigm based on property and contract) , a deep convergence is observed. It was found that key subjects (public administration, officials, citizens in the public sphere, and shareholders, management, general meetings in the corporate sphere) have fundamentally different sources of legitimacy (Constitution and laws versus an articles of association and meeting resolutions). At the same time, the «Principal-Agent» dilemma is mirrored in both systems: in the public sphere, the challenge is limiting the power of the state (Principal) over the citizen, while in the corporate sphere, it is ensuring effective control by the owners (Principal) over the management (Agent). Convergence is manifested in «hybrid» phenomena: 1) the functional similarity of the organizational-administrative functions of an official and a manager; 2) the dual role of the citizen – as a bearer of public rights (a mandatory status) and as a shareholder (a voluntary status based on ownership); 3) the dual role of the state – as a sovereign regulator and simultaneously as the largest owner of corporate rights; 4) the institution of public-private partnership, where subjects mutually transform, combining features of both legal systems. The results of the analysis provide a deeper understanding of the legal nature of hybrid subjects operating at the intersection of these sectors. They are useful for identifying and resolving chronic conflicts of interest arising in the management of state-owned corporate rights, as well as in structuring and implementing public-private partnership projects.
